Terms of Service

1. Acceptance of Terms

By accessing or using the ReportRex AI platform at reportrexai.com or any associated subdomains (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users of the Service, including real estate agents, agency administrators, and agency members. By creating an account, you confirm that you are at least 18 years of age, are a real estate professional operating in the United States, and have the authority to enter into this agreement on behalf of yourself or your brokerage.

2. Description of Service

ReportRex AI is a SaaS platform that enables real estate agents to generate AI-written, branded property market reports for specific suburbs or geographic areas within the United States. The Service includes:

• Automated market data aggregation from third-party US property data sources
• AI-generated market commentary and homeowner cover letters via the Google Gemini API
• PDF report generation with agent branding
• Email delivery of reports directly to homeowners
• Shareable web-hosted report links
• Scheduled monthly report automation
• Agency team management features (select plans)

Market data is sourced from RentCast and the US Census Bureau. All market data is provided for informational purposes only and does not constitute financial, investment, or legal advice.

3. Account Registration

You must create an account to access the Service. You agree to provide accurate, complete, and current information at registration and to keep this information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify us immediately at support@reportrexai.com if you suspect any unauthorized use of your account. We are not liable for any loss resulting from unauthorized access caused by your failure to secure your credentials.

4. Free Trial

New accounts receive a 14-day free trial with full Professional plan access and up to 20 report generations. No credit card or payment information is required to start a trial. At the end of your trial period, access to paid features will be restricted unless you subscribe to a paid plan.

We reserve the right to modify or discontinue the trial offering at any time without notice to prospective new users. Existing trial accounts in progress will not be affected by such changes.

5. Subscriptions and Billing

Paid subscriptions are billed through Paddle, our payment processor and Merchant of Record. By subscribing, you authorize Paddle to charge your chosen payment method on a recurring monthly basis.

• Starter: $49/month — 15 reports per month
• Professional: $89/month — unlimited reports
• Team: $179/month — unlimited reports, up to 6 agents
• Agency: $349/month — unlimited reports, up to 20 agents, white-label

Subscriptions automatically renew at the end of each billing period. You may cancel at any time from your account billing page. Cancellation takes effect at the end of your current billing period and you retain access until that date. All prices are in USD. Paddle, as Merchant of Record, calculates and collects any applicable taxes.

If a payment fails, we will retry for up to 3 days and notify you by email. If payment is not resolved within that period, your account may be downgraded to a restricted state.

6. Acceptable Use

The Service is intended solely for use by licensed real estate professionals in the United States. You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable federal, state, or local regulations
• Generate reports containing false, misleading, or defamatory market data or commentary
• Resell, sublicense, or redistribute report data or AI-generated outputs to third parties as a data product
• Attempt to reverse-engineer, copy, or reproduce any part of the platform or its AI outputs for a competing product
• Share account credentials between individuals or allow multiple people to use a single-seat account
• Use automated scripts, bots, or scrapers to access the Service outside of officially provided API access (Agency plan)
• Exceed plan report limits by circumventing usage controls
• Upload content that violates third-party intellectual property rights (e.g., logos you do not own or have rights to use)

7. AI-Generated Content Disclaimer

The market commentary and cover letters generated by the Service are produced by AI language models (Google Gemini) based on aggregated US property market data. These outputs are provided for informational and marketing assistance purposes only. They do not constitute financial, investment, legal, or professional real estate advice. Market data is provided by RentCast and the US Census Bureau under their respective data licenses.

You are responsible for reviewing all AI-generated content before sending it to clients or homeowners. ReportRex AI makes no warranty that AI-generated content is accurate, complete, or suitable for any specific purpose. Market data accuracy depends on third-party data providers and may not reflect real-time conditions.

8. Intellectual Property

The ReportRex AI platform, including its software, design, branding, and documentation, is owned by ReportRex AI and protected by applicable US intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service during your active subscription period.

You retain ownership of the content you upload (profile photos, logos, brokerage information). By uploading content, you grant us a limited license to use it solely for providing the Service to you (e.g., rendering your logo in generated reports).

Reports generated using the Service are owned by you and may be used freely for your professional real estate marketing activities. You may not resell or redistribute the report generation platform or its outputs as a white-label product to other agents without an Agency plan and express written consent from ReportRex AI.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We handle personal data in accordance with applicable US privacy laws, including the California Consumer Privacy Act (CCPA) for California residents and the CAN-SPAM Act for commercial email.

10. Termination

You may cancel your subscription and close your account at any time from the billing page. Upon cancellation, your account data is retained for 90 days before deletion, during which you may request an export of your reports.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or create risk or legal exposure for ReportRex AI. We will provide notice where reasonably practicable. Upon termination for cause, no refunds will be issued for the current billing period.

11. Limitation of Liability

To the maximum extent permitted by applicable law, ReportRex AI and its directors, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Market data provided through the Service is for informational purposes only and is not financial advice.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total subscription fees paid by you in the 3 months preceding the claim.

12. Dispute Resolution — Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration will be conducted in the English language on a documents-only basis unless either party requests a telephonic hearing.

Class Action Waiver: You and ReportRex AI each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to bring or participate in any class action lawsuit or class-wide arbitration.

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within that court’s jurisdiction, and either party may seek emergency injunctive or equitable relief in any court of competent jurisdiction to prevent irreparable harm.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. For any disputes not subject to binding arbitration under Section 12, you and ReportRex AI consent to the exclusive jurisdiction of the state and federal courts located in the State of Delaware.

14. Modifications to Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email and update the “Last updated” date above. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those Terms.
